1. GENERAL TERMS

By using the Bang Analytics website and its services, you enter into a legally binding agreement with Bang Analytics Limited. Your access and use of the platform signify your acceptance of these Terms and the Privacy Policy, forming a contract between you and Bang Analytics without the need for a signature or further consent. The section headings within these Terms are solely for navigational purposes and carry no legal weight.

You acknowledge and agree that these Terms and Conditions constitute the complete and exclusive agreement between us concerning your use of the website, and supersede and govern all prior proposals, agreements, or other communications.

2. PROVISION OF SERVICES

i. Scope of Services

Bang Analytics provides specialized data science services as described on the website or as agreed in a written Scope of Work (SOW). These services are tailored to the Client’s specific needs and will be carried out with professional diligence, in accordance with applicable industry standards.

ii. Deliverables

Any reports, analyses, visualizations, or other outputs generated as part of the Services will be delivered as agreed in the SOW or other formal agreements. All Deliverables will comply with the timelines and specifications outlined therein.

3. INTELLECTUAL PROPERTY

i. Ownership of Intellectual Property

Bang Analytics retains full ownership of all intellectual property rights in its proprietary tools, software, methodologies, and documentation, whether created prior to or during the provision of services. This includes, but is not limited to, Stakeholder Signals, Talent Mapper, PDF to Database, and any related enhancements.

ii. License to Use

Clients are granted a limited, non-exclusive, non-transferable license to use Bang Analytics’ proprietary products or Deliverables solely for their internal business purposes. The sale, distribution, sublicensing, or commercial use of these products is prohibited without prior written consent from Bang Analytics.

iii. Restrictions on Use

Users may not, under any circumstances, reverse-engineer, decompile, disassemble, or modify any of Bang Analytics' proprietary products or methodologies unless expressly agreed upon in writing.

iv. Transfer of ownership to the User

Ownership of intellectual property rights for any bespoke work may be transferred to the Client only upon full payment for all related services as specified in the SOW which was entered upon with that specific client. Such transfer will occur through a separate written agreement, which must explicitly detail the following:

the specific intellectual property rights being transferred;
any royalties, licensing fees, or future usage rights that Bang Analytics may retain;
limitations on the Client’s use of the transferred intellectual property to prevent misuse; and
the acknowledgment that this transfer does not affect Bang Analytics ownership of its pre-existing intellectual property and any enhancements made during the engagement.

Additionally, the Client agrees to indemnify and hold Bang Analytics harmless from any claims or damages arising from the use of the transferred intellectual property beyond the authorized scope outlined in the written agreement.

v. Ownership of Website Content and Intellectual Property

All information and content available on the website and its “look and feel”, including but not limited to trademarks, logos, service marks, text, graphics, logos, button icons, images, audio clips, data compilations, promotional material, codes and software, and the compilation and organization thereof (collectively, the “Content”) is the property of Bang Analytics, our Affiliates, partners or licensors, and is protected by laws of United Kingdom, including laws governing all applicable forms of intellectual property.

You shall not use any of the intellectual property displayed on the website in any manner that is likely to cause confusion among existing or prospective users of the website, or that in any manner disparages or discredits the website.

You are aware of all intellectual property, including but not limited to copyrights, relating to said services that reside with the owners, and that at no point does any such intellectual property stand transferred from the creators.

You are further aware that any reproduction or infringement of the intellectual property of the owners by you will result in legal action being initiated against you by the respective owners of the intellectual property so reproduced/infringed upon. You agree that the contents of this section shall survive even after the termination or expiry of these Terms and/or Privacy Policy.

4. FEES AND PAYMENT

i. Pricing

All prices are exclusive of any applicable taxes, which will be charged at the prevailing rates. The fees for services offered by Bang Analytics will be specified in the relevant Scope of Work (SOW) or contractual agreement established with the Client.

ii. Payment Terms

Payment schedules, including deposits, milestone-based payments, or retainer fees, will be defined in the SOW established with each Client. Clients are required to adhere to these payment terms. Failure to meet payment deadlines may result in delays in the delivery of services.

iii. Late Payments

In the event of late payments, interest charges may apply at a rate of 5% per month or the highest rate permitted by law, whichever is greater. Bang Analytics reserves the right to suspend services until all outstanding amounts are settled.

iv. Refund Policy

All payments made to Bang Analytics are non-refundable once a project has commenced, except where explicitly stated otherwise in the SOW established with the Client.

5. ELIGIBILITY

To use the platform, you must be at least 18 years old or the age of legal majority in your jurisdiction. If you are under 18 years or the age of legal majority in your country, but at least 13 years old (a "Minor"), you must have the consent of your parent or legal guardian who has agreed to the Terms. If you agree to the Terms on behalf of a Minor, you are solely responsible for their use of the Site and any legal liability that may arise. This website is not intended for the use of the Children under 13 years. You understand and accept that you are legally and financially responsible for all actions using or accessing this website or its services.
You represent and warrant that you are competent and eligible to enter into legally binding agreements and that you have the requisite authority to bind yourself to these Terms and undertake to make the purchases through the website.
You further represent that you will comply with these Terms and all applicable local, state, national, and international laws, rules and regulations.

14. INDEMNITY

i. You agree to indemnify, defend and hold harmless us, and our respective directors, officers, employees and agents (collectively, "Parties"), from and against any losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by us that arise out of, result from, or maybe payable by, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed according to these Terms. Further, you agree to hold us harmless against any claims made by any third party due to, or arising out of, or in connection with:

Your violation of these Terms;
Your violation of any rights of another;
Your alleged improper conduct according to these Terms;

18. FORCE MAJEURE

19. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of England and Wales.
In the event of a dispute, the parties agree to attempt resolution through good-faith negotiations. If the dispute cannot be resolved, it shall be referred to mediation before litigation. Any unresolved disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

20. COMMUNICATION

Waiver: The failure at any time to require the performance of any provision of these Terms shall in no manner affect our right at a later time to enforce the same. No waiver by us of any breach of these Terms, whether by conduct or otherwise, in any one or more instances, shall be deemed to be or construed as a further or continuing waiver of any such breach, or a waiver of any other breach of these Terms.
Severability: If any provision/clause of these Terms is held to be invalid, illegal, or unenforceable by any court or authority of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions/clauses of these Terms shall in no way be affected or impaired thereby, and each such provision/clause of these Terms shall be valid and enforceable to the fullest extent permitted by law.
